BMH Partner Portal
Partner Terms & Conditions
Company details
- BMH Online Solutions Ltd
1. About these Terms
These Terms & Conditions (“Terms”) govern access to and use of the BMH Partner Portal (the “Portal”) and participation in the BMH partner referral programme (the “Programme”). BMH Online Solutions Ltd is referred to as “BMH”, “we”, “us” or “our”. A person approved to participate in the Programme is a “Partner” or “you”.
By registering for, accessing or using the Portal, you agree to these Terms. If you do not agree, do not use the Portal.
2. Nature of the Programme
The Programme allows approved Partners to introduce potential customers to BMH and, where the Programme rules are satisfied, receive a fixed commission. A referral is not a guarantee that BMH will accept the lead, provide services, win the work, or pay a commission.
The Programme does not create a partnership, joint venture, employment relationship, franchise, fiduciary relationship or general agency relationship between BMH and a Partner. A Partner has no authority to bind BMH or make commitments on BMH’s behalf unless BMH expressly authorises this in writing.
3. Partner eligibility and account
- You must provide accurate and current information and update it when necessary.
- Your Portal account is personal to you and must not be shared, transferred or sold.
- BMH may require information reasonably necessary to verify identity, business relationship, eligibility or payment details.
- You must keep login credentials secure and promptly report suspected unauthorised access.
- BMH may suspend or restrict access where reasonably necessary for security, fraud prevention, investigation, legal/compliance purposes or breach of these Terms.
4. Submitting referrals
- A referral should contain enough information for BMH to identify and contact the prospective customer, including an appropriate telephone number or email address.
- You must not knowingly submit a false, fabricated, misleading, fraudulent, duplicate or self-referral.
- You should only provide another person’s personal data where you have an appropriate lawful basis, authority or other permission to provide it.
- A referral is considered under the Programme rules applicable at the time it is submitted and subsequently processed; submission alone does not establish commission entitlement.
- BMH may review, flag, reject or investigate a referral where its validity, ownership or eligibility is reasonably in question.
5. Referral ownership and service eligibility
- Commission eligibility is linked to the specifically referred service, not automatically to every service that the same client may later purchase.
- For the same client and same service, the first valid referral satisfying BMH’s referral rules is the referral considered for the relevant ownership/commission entitlement.
- A Partner may refer a different service for a client who is already known to BMH, subject to the Programme rules.
- A referral may remain eligible even where the client was already an existing BMH lead or client, provided the referral is for a specifically referred service and otherwise qualifies.
- A “Not Sure / Needs Consultation” referral does not permanently reserve a service category. BMH determines the final service/category when it can definitively determine what service is being purchased.
- If a referral is marked Lost, ownership is released under the Programme rules.
- Referral ownership may expire after six months without progress.
- Questionable, duplicate, fake, self-referred or otherwise invalid referrals may be rejected and do not create commission entitlement.
6. Commission entitlement and calculation
Commissions are fixed amounts, not percentages of project value and not calculated from VAT.
The current fixed commission matrix is:
| Service | Tier 1 | Tier 2 | Tier 3 |
|---|---|---|---|
| Website — Basic | £50 | £65 | £80 |
| Website — Medium | £100 | £130 | £160 |
| Website — Premium | £175 | £225 | £275 |
| App / Software — Basic | £100 | £130 | £160 |
| App / Software — Medium | £200 | £260 | £320 |
| App / Software — Premium | £350 | £450 | £550 |
| AI & Automation — Basic | £100 | £130 | £160 |
| AI & Automation — Medium | £250 | £325 | £400 |
| AI & Automation — Premium | £450 | £575 | £700 |
| Not Sure / Needs Consultation* | £50 | £65 | £80 |
*The Not Sure / Needs Consultation rate applies only until BMH definitively determines the final service/category; the final service/category then governs the commission calculation.
Tier bands are: Tier 1 = 1–5 successful/commission-eligible referrals; Tier 2 = 6–10; Tier 3 = 11+.
- Tier is determined server-side at the authorised commission-earning/Won event and is snapshotted for that commission.
- There is one commission per eligible referral.
- The Portal’s displayed figures do not themselves create or alter entitlement.
- The commission amount is calculated by BMH’s authorised system rules using the final service/category and applicable locked tier/rate.
7. Won status and Official Project Value
- A referral becomes commission-eligible only through BMH’s authorised Won workflow.
- Before Won, BMH must determine the final service/category and record the Official Project Value.
- An estimated project value cannot substitute for the Official Project Value.
- The Official Project Value is controlled by BMH/admin processes and is locked once Won.
- A legitimate correction after Won requires an authorised correction process, an audit reason and preservation of the original record.
- Manual direct commission overrides or corrections require an authorised BMH process and recorded reason/audit.
8. Rate changes
- Commission rates are effective-dated and future-facing; normal changes are not backdated.
- BMH will provide at least 12 days’ notice of a normal future commission-rate change.
- A future rate change does not retrospectively alter an already locked commission snapshot.
- A genuine historical mistake may be corrected only through an authorised auditable correction which preserves the original record and records the reason and adjustment.
- Future rate changes may be edited or cancelled by authorised BMH administrators through an audited process.
- The relevant determination date for a Not Sure / Needs Consultation referral is the date BMH definitively determines the final service/category, subject to the applicable Programme rules.
- Relevant rate changes may be communicated through email and the Portal; current and upcoming changes may be visible in the Portal while historical rates need not be displayed.
9. Commission cancellation
A commission may be cancelled where the underlying entitlement is invalidated or another legitimate cancellation ground applies under BMH’s Programme rules. Cancellation requires an authorised process and reason. Cancelled commission records are retained for audit and are not simply deleted. Any question concerning a previously paid commission will be handled through an authorised review process.
10. Payment
- The normal scheduled payout date is the 28th of the relevant month, subject to eligibility and the Programme’s timing rules.
- Where the 28th falls within seven days after a commission becomes eligible, the payment may move to the following 28th.
- The seven-day period is an operational/discretionary hold and is not a minimum payout amount.
- BMH may make an eligible payment earlier where operationally appropriate.
- There is no minimum payout threshold.
- Partners do not issue an invoice for Programme commissions; BMH provides a commission statement through the available Portal process.
- Payments are made manually by bank transfer. The Portal does not automatically initiate a payout.
- A commission must have verified active bank details before BMH can record it as Paid.
- The payment record includes the full commission amount, payment method, transfer date/time, banking transaction/reference ID, administrator recording the payment and recording timestamp.
11. Bank details
- Partners may provide bank details for commission payments.
- Automated bank validation, where used, is separate from BMH’s final verification decision.
- Validation alone does not mean the bank account is verified for payout.
- Sensitive bank information is subject to restricted access and appropriate audit controls.
- Bank-detail changes may require additional checks and may trigger Portal/email notifications.
12. Notifications
The Portal may provide in-Portal and email notifications concerning referrals, referral status, commissions, payments, bank-detail changes and account activity. The configured Programme rules determine which events are sent by email and/or shown in the Portal. Partner emails may be sent from partners@bmh-online.co.uk.
13. Account closure
- A Partner may request closure using the available account-closure process.
- Closure ends Portal access and signs the Partner out.
- An active referral associated with a closed Partner is released under the Programme rules, and the Partner loses future commission eligibility arising from that active referral.
- The historical referral submission remains recorded.
- Commission already earned or payable is not cancelled merely because the Partner closes the account.
- BMH may retain partner, referral, commission, bank, payment and audit records for lawful business, accounting, tax, legal, compliance, dispute-resolution and payment purposes.
14. Prohibited conduct
- Attempting to access another Partner’s information or administrative information.
- Attempting to bypass authentication, role, referral ownership, commission, payment or closure controls.
- Interfering with, scraping, reverse engineering or misusing the Portal.
- Submitting personal data without an appropriate lawful basis/authority.
- Using the Programme fraudulently or in a manner intended to obtain commission improperly.
15. Intellectual property
The Portal, its software, design, content, branding and related materials are owned by or licensed to BMH. Except where permitted by law, you must not copy, reproduce, modify, distribute or commercially exploit them without BMH’s permission.
16. Availability and technical issues
BMH will take reasonable steps to operate the Portal, but does not guarantee uninterrupted availability, error-free operation or that every Portal function will always be available. BMH may carry out maintenance, updates and security work.
17. Disputes and records
Partners should raise referral, ownership, commission or payment disputes promptly and provide supporting information. BMH may investigate using Portal records, transaction records and audit history. Nothing in this clause removes any rights available under applicable law.
18. Changes to these Terms
BMH may update these Terms where reasonably necessary, including to reflect changes to the Portal, Programme, legal requirements or business operations. Material changes will be communicated through an appropriate Portal or other notice mechanism. Commission-rate changes remain subject to Section 8.
19. Standard legal provisions
If any provision is found unlawful or unenforceable, it will be modified or severed only to the extent necessary and the remaining provisions will continue. A failure by BMH to enforce a provision immediately is not a waiver of its right to do so later. BMH may assign its rights/obligations as part of a business transfer or where legally permitted; a Partner may not transfer their account or Programme rights without BMH’s written consent. These Terms, together with any documents expressly incorporated into them, form the agreement governing the Portal/Programme.
20. Liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Subject to that, BMH’s liability will be determined under applicable law and the circumstances of the relevant claim.
21. Governing law and jurisdiction
These Terms are governed by the law of England and Wales. Subject to mandatory legal rights, the courts of England and Wales have jurisdiction.
